These Terms and Conditions of Sale (hereinafter "Terms") govern the contractual relationship between Cristian GUTIERREZ VESELKOV and any business client (hereinafter "the Client") making a purchase on cgv-digital.com.

Article 2 - Scope of Application
2.1 Application of Terms
These Terms apply exclusively to commercial relationships between the Provider and business Clients, i.e., any natural or legal person acting within the scope of their commercial, industrial, craft, liberal, or agricultural activity.
2.2 Acceptance of Terms
Any order implies unreserved acceptance of these Terms. These Terms prevail over any other Client document, including their general terms of purchase.
2.3 Modification of Terms
The Provider reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date of the order.
Article 3 - Products and Services
3.1 Description
The products and services offered are digital services, including:
- Digital services (web development, digital consulting)
- Digital content (templates, guides, training)
Essential characteristics are described in product sheets or the quote.
3.2 Quotes
For customized services, a detailed quote is provided. The quote is valid for 30 days from its date of issue, unless otherwise stated.
Article 4 - Prices
4.1 Prices
Prices are indicated in euros (EUR), excluding taxes.
VAT: VAT not applicable, Article 293 B of the French General Tax Code.
4.2 Price Revision
Prices may be revised at any time. The applicable prices are those in force at the time of the order.
Article 5 - Order
5.1 Placing an Order
Orders can be placed:
- Online on the website
- By accepting a quote (signature + "Approved" mention)
- By email to gutierrezveselkovcristian@gmail.com
5.2 Confirmation
Every order is confirmed by sending an invoice or confirmation email.
Article 6 - Payment Terms
6.1 Payment Methods
Payment is made by bank transfer. Bank details are indicated on the invoice.
6.2 Payment Deadlines
Unless otherwise agreed and mentioned on the invoice, payment is due within 30 days from the invoice date.
6.3 Late Payment Penalties
In accordance with Article L.441-10 of the French Commercial Code, any late payment automatically results in:
- Late payment penalties: Rate equal to 3 times the legal interest rate, due the day following the payment date shown on the invoice
- Fixed compensation for recovery costs: 40 euros (Article D.441-5 of the French Commercial Code)
If recovery costs exceed this fixed compensation, additional compensation may be requested with supporting documents.
6.4 Retention of Title Clause
The Provider retains ownership of the products/content until full payment of the price. This clause does not prevent the transfer to the Client, upon delivery, of the risks of loss and deterioration of the products.
Article 7 - Performance of Services
7.1 Deadlines
Execution deadlines are mentioned in the quote or order confirmation. These deadlines are indicative.
The Provider undertakes to inform the Client of any foreseeable delay.
7.2 Digital Content Delivery
Digital content is delivered by:
- Download
- Access to a platform
7.3 Acceptance
The Client has 7 days following delivery to submit reasoned reservations in writing. After this period, the service is deemed accepted.
Article 8 - No Right of Withdrawal
In accordance with Article L.221-3 of the French Consumer Code, the right of withdrawal does not apply to contracts concluded between professionals.
No right of withdrawal applies to these Terms.
Article 9 - Warranty
9.1 Limited Warranty
The Provider warrants that products/services conform to their description and agreed specifications.
9.2 Exclusions
The warranty does not cover:
- Use not in accordance with instructions
- Modifications made by the Client or a third party
- Normal wear and tear
- Incompatibilities with the Client's technical environment
9.3 Duration
The warranty is valid for 90 days from delivery, unless otherwise stated in the quote.
Article 10 - Liability
10.1 Limitation of Liability
The Provider's liability cannot exceed the amount of the relevant order.
The Provider shall not be held liable for indirect damages, such as:
- Loss of profit
- Loss of customers
- Loss of data
- Damage to image
10.2 Force Majeure
The Provider shall not be liable in case of force majeure as defined by Article 1218 of the French Civil Code.
Article 11 - Intellectual Property
11.1 Provider's Property
Elements provided (code, designs, methodologies, etc.) remain the intellectual property of the Provider until full payment.
11.2 License of Use
After full payment, the Client acquires a license of use according to the terms defined in the quote or order.
Unless otherwise agreed in writing:
- The license is non-exclusive
- The license is limited to the Client's internal use
- Resale or redistribution is prohibited
11.3 Client's Property
Elements provided by the Client (logos, content, data) remain their property.
Article 12 - Confidentiality
The parties undertake to keep confidential all information exchanged in the context of their commercial relationship.
This confidentiality obligation applies during the term of the contract and for 2 years after its termination.
Article 13 - Personal Data
Personal data is processed in accordance with our Privacy Policy and the GDPR.
Article 14 - Termination
14.1 Termination for Breach
In case of serious breach of obligations by one party, the other party may terminate the contract after formal notice that remains unsuccessful for 15 days.
14.2 Effects of Termination
Termination does not affect amounts due for services already performed.
Article 15 - Commercial References
Unless the Client objects in writing, the Provider may mention the Client's name and logo in their commercial references.
Article 16 - Miscellaneous Provisions
16.1 Partial Invalidity
If any clause is declared void, the other clauses remain in force.
16.2 No Waiver
Failure to exercise a right does not constitute a waiver of that right.
16.3 Entirety
These Terms, the quote, and the invoice constitute the entire agreement between the parties.
Article 17 - Applicable Law and Jurisdiction
These Terms are governed by French law.
In case of dispute, and after an attempt at amicable settlement, the Paris courts shall have sole jurisdiction, even in case of multiple defendants or third-party proceedings.
